Terms of Use Cwmwl Clyd / Cosy Cloud

These Terms of Use (“Terms”) are a legal agreement between Cwmwl Clyd | Cosy Cloud (“we”, “us”, “our”) and you (the person accepting these Terms) and/or the school or organisation you represent (“School”, “you”, “your”).

By accessing our websites or using our services, you agree to these Terms.

 

1. About Cwmwl Clyd | Cosy Cloud

Cwmwl Clyd | Cosy Cloud provides a bilingual (Welsh & English) mindfulness and well-being platform designed specifically for schools in Wales. Our resources may include guided audio meditations, mindfulness activities, lesson-ready materials, and downloadable worksheets.

Websites and Services
These Terms apply to:

  • Our public website(s) (for example, www.cwmwlclyd.com and any successor domains), and
  • Any member area or learning platform we use to deliver subscriptions (a “Platform”), whether hosted by us or by a third party.

We may change the Platform from time to time to improve the service.

 

2. Who Can Use the Service

a) Adult acceptance

Accounts, subscriptions, and administration must be managed by an adult (e.g., teacher, staff member, school administrator, local authority representative). By accepting these Terms, you confirm you are at least 18 years old and authorised to bind your School.

b) Pupil access

Our content is designed for children, but children do not create accounts. Pupils may access content only under the supervision and control of the School.

 

3. Privacy

Your use of the service is also governed by our Privacy Policy, which explains how we collect and use personal data.

 

4. Accounts and Security

  • You are responsible for maintaining the confidentiality of login details.
  • You must ensure only authorised staff within your School use the account.
  • You must not share staff login details with pupils, parents/guardians, or anyone outside your School.
  • You agree to notify us promptly if you suspect unauthorised access.

We may suspend or disable access if we reasonably believe:

  • there has been unauthorised access,
  • the account is being shared outside the School, or
  • these Terms have been breached.

 

5. Subscription Licence and Permitted Use

a) Licence

When you purchase a subscription, we grant your School a limited, non-exclusive, non-transferable, revocable licence to access and use the content for internal educational use within your School during the subscription term.

b) What you can do

Unless we agree otherwise in writing, you may:

  • play or stream audio/video content for pupils within your School,
  • download and print worksheets for use within your School,
  • use lesson-ready materials for classroom delivery.

c) What you must not do

You must not:

  • share, sell, sublicense, distribute, or publish our content outside your School,
  • upload our content to public websites, social media, or shared drives accessible outside your School,
  • copy, reproduce, modify, translate, adapt, or create derivative works from our content,
  • remove copyright notices or branding,
  • use our content to create competing products or services.

If you need permissions for multi-school trusts, local authority rollouts, or training delivery across multiple sites, please contact us for a written agreement.

 

6. Intellectual Property

All content, materials, recordings, downloads, branding, and trademarks (“Content”) are owned by us and/or our licensors and protected by intellectual property laws.

Nothing in these Terms transfers ownership of the Content to you.

 

7. Acceptable Use

You agree not to:

  • use the service for unlawful purposes,
  • attempt to gain unauthorised access to the service or systems,
  • introduce viruses or harmful code,
  • interfere with the security or performance of the service,
  • misuse any community, commenting, or messaging features (if provided).

We may suspend or terminate access for serious or repeated breaches.

 

8. Third-Party Services

We may use third-party providers (for example, hosting, learning platforms, payment processors, analytics, or video delivery). Your use of those services may also be subject to their own terms.

We are not responsible for third-party platforms outside our control, but we will choose reputable providers and take reasonable steps to keep the service available.

 

9. Pricing, Billing, and Renewal

a) Pricing

Subscription pricing is as stated on our website, invoice, or proposal. Prices may change, but changes will apply from the next renewal unless agreed otherwise.

b) Invoicing and start date

Where invoicing is used, your subscription starts on the date we send your School the account activation email (or other written confirmation of access).

c) Renewal

Unless cancelled before renewal, subscriptions typically renew annually. Where you pay by invoice, we may issue an annual invoice in advance of renewal.

 

10. Cancellation and Refunds

a) Cancellation

You may cancel by emailing us at contactcosycloud@gmail.com. Unless we agree otherwise in writing, cancellation takes effect at the end of the current paid subscription period.

b) Refunds

If a refund policy is offered (for example, a 30-day money-back guarantee), it will apply as described on your invoice, proposal, or subscription page at the time of purchase.

If a refund is issued:

  • access to the service may be removed, and
  • your School must stop using any downloaded materials, and delete/destroy copies where reasonably possible.

 

11. Educational and Well-being Information Only

Our content is for mindfulness, educational, and well-being support in a school setting. It is not medical, clinical, mental health, safeguarding, or therapeutic advice.

Schools are responsible for:

  • appropriate supervision,
  • safeguarding practices,
  • determining suitability for their pupils,
  • following local authority and school policies.

If a child appears to be at risk of harm, schools should follow their safeguarding procedures and seek appropriate professional support.

 

12. Service Availability and Changes

We may update, change, or discontinue parts of the service from time to time (for example, adding resources, improving features, or changing hosting providers).

We aim to keep the service available, but we do not guarantee uninterrupted access. Maintenance, outages, or events outside our control may occur.

 

13. Disclaimer of Warranties

To the maximum extent permitted by law, the service and Content are provided on an “as is” and “as available” basis. We do not guarantee that:

  • the service will be error-free or uninterrupted,
  • the Content will meet every School’s specific needs,
  • specific outcomes will be achieved.

 

14. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

Subject to the above, to the maximum extent permitted by law:

  • we will not be liable for indirect, consequential, or special losses,
  • we will not be liable for loss of profits, loss of data, or business interruption,
  • our total liability arising out of or in connection with the service will not exceed the subscription fees paid by your School in the 12 months before the event giving rise to the claim.

 

15. Indemnity

You agree to indemnify and hold us harmless from claims, losses, and expenses arising from:

  • your School’s misuse of the service,
  • breach of these Terms,
  • unlawful distribution of Content, or
  • infringement caused by materials you upload or submit.

 

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales.

If a dispute arises, the parties will first try to resolve it informally in good faith. If unresolved, the courts of England and Wales will have exclusive jurisdiction.

 

17. Termination

We may suspend or terminate access immediately if:

  • you materially breach these Terms,
  • you share access outside your School,
  • you misuse the service or Content.

On termination:

  • all licences granted under these Terms end, and
  • your School must stop using the Content.

 

18. Notices and Electronic Communications

By using the service or emailing us, you agree that we may communicate with you electronically (for example, via email). This satisfies any legal requirement for written communication.

 

19. Entire Agreement

These Terms, together with any documents they incorporate (including our Privacy Policy) and any written subscription agreement or proposal accepted by your School, form the entire agreement between you and us about the service.

If any provision is found unenforceable, the remainder will continue in effect.
